1. Acceptance of Terms

By accessing or using the CutMagic website (cutmagic.io) and our AI-powered background removal service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is owned and operated by WA Global LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein.

3. User Accounts

To use the background removal tool, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Notify us immediately at info@cutmagic.io if you discover or suspect any security breaches related to the Service or your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading, or if you violate these Terms.

4. Use of the Service

4.1 Permitted Use

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal or commercial purposes, subject to these Terms and your chosen subscription plan.

4.2 Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Upload images that contain illegal content, including but not limited to child pornography, hate speech, or content that infringes on the intellectual property rights of others.
• Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
• Use any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
• Bypass the measures we may use to prevent or restrict access to the Service.
• Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Service.

5. Intellectual Property

5.1 Our Content

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of WA Global LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

5.2 Your Content

You retain all rights to the images you upload to the Service ("User Content"). By uploading User Content, you grant us a temporary, worldwide, non-exclusive, royalty-free license to use, process, and reproduce such content solely for the purpose of providing the background removal service to you.

We do not claim ownership of your User Content. We do not store your images permanently, and we do not use them for AI training or any purpose other than providing the Service.

6. Subscriptions and Payments

6.1 Plans

We offer both free and paid subscription plans. The features and limits of each plan are described on our Pricing page.

6.2 Billing

Paid subscriptions are billed on a recurring basis (monthly or annually) as chosen by you. You agree to provide valid payment information and authorize us (or our third-party payment processor) to charge the subscription fees to your chosen payment method.

6.3 Cancellations

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will continue to have access to the Pro features until the end of your billing cycle.

6.4 Refunds

Refunds are handled in accordance with our Refund Policy.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

8. Limitation of Liability

In no event shall WA Global LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to us for the Service in the 12 months preceding the claim.

9. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; or that the results of using the Service will meet your requirements.

10. Indemnification

You agree to defend, indemnify, and hold harmless WA Global LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content uploaded to the Service.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
